RWW Board Chair

BOARD CHAIR ROLE & RESPONSIBILITIES

The Board Chair is a Board Officer, and they sit alongside fellow Board Officers (Board Treasurer, Board Secretary) and our Executive Director to form our Executive Committee.

Board Leadership

The Board Chair is primarily responsible for setting a positive, energetic, and action-oriented tone to inspire the Board to work together to serve RWW’s mission. The duties of this position include:

  • Presiding over Executive Committee meetings, Board meetings, and any necessary special Board Meetings.

  • Encouraging input and discussion and facilitate decision-making among the Board.

  • If deemed necessary for Board effectiveness, creating and managing Board Committees.

  • Oversing the Board’s self-evaluation process, providing constructive feedback to individual Board Members as required, and implementing recommendations for change.

  • Fundraising for and networking to move RWW’s vision and strategy forward.

  • The Board Chair will likely volunteer an additional five hours per month to RWW, bringing their minimum time commitment to 25 hours per month.

 Nonprofit Oversight & Governance

The Board Chair will work closely with the Executive Director to ensure the successful execution of RWW’s goals.

  • Approve RWW’s annual budget, audit reports, and material business decisions.

  • Draft and approve Board policies to guide and protect the nonprofit, Board, staff, and the community RWW aims to serve.

  • Serve as a trusted advisor to the Executive Director for the development and implementation of RWW’s strategic plan.

  • Support the Executive Director with troubleshooting potential issues and problems.

  • Lead an annual performance review of the Executive Director.

 Board Recruitment & Succession Planning

The Board is currently recruiting for six more Board members. Within three (3) months of service, the new Board will vote on an Executive Committee, which will then recruit additional Board Members on a timeline determined by the new Executive Committee. The Executive Committee will:

  • Co-lead the recruitment and appointment of additional Board members.

  • Co-create a skills matrix to maintain a balanced and effective Board.

  • Co-develop succession processes to recruit, select, and onboard new Board Members and ensure a smooth transition between Board terms.

Time Commitment

Board directors are expected to volunteer at least 20 hours/month (Executive Committee meetings, monthly Board meetings, and Board Chair responsibilities as outlined above). The Board chair is expected to contribute, at a minimum, an additional 5 hours/month, bringing their RWW monthly volunteer time to 25 hours.

Qualifications

  • Strong personal integrity and a passion for RWW’s mission and vision

  • At least two years of experience as a Board Director of another nonprofit or for-profit organization (ideally with experience as a Board Officer, but not necessary)

  • Extensive professional experience with significant leadership accomplishments

  • Exceptional oral and written communication skills

  • Able to run effective meetings and manage a diverse group of professionals

  • Able to facilitate decision-making and achieve consensus

  • Access to a network of high-capacity donors or well-connected community contacts

  • Bonus: experience with another arts and culture organization

RWW Board Treasurer

BOARD TREASURER ROLE & RESPONSIBILITIES

The Board Treasurer is a Board Officer, and they sit alongside fellow Board Officers (Board Chair, Board Secretary) and our Executive Director to form our Executive Committee. 

Financial Health & Stability

The Board Treasurer is responsible for overseeing and monitoring the organization's current and future financial health and stability.

  • Define and implement financial deadlines and responsibilities.

  • Review bookkeeping, including overall accounting, tax documents, etc.

  • Ensure timely filing of all tax obligations for the organization.

  • Counsel organizational staff on investment decisions.

  • Sign off on the annual budget.

  • Create and deliver financial reports to the Executive Director and other Board Members annually (aligned to the organization’s fiscal period).

  • Prepare audit materials if and when needed.

  • Experience overseeing and filing taxes (nonprofit experience not required but welcomed).

  • Bonus: experience with another arts and culture organization.

RWW Board Secretary

BOARD SECRETARY ROLE & RESPONSIBILITIES

The Board Secretary is an active conduit for facilitating communication between board directors and the Executive Director and maintaining the nonprofit’s records.

Board Meetings

The Secretary will ensure that Board meetings are effectively scheduled, organized, and memorialized through minutes. If the Secretary cannot attend a meeting where minutes or notes are to be taken, it is the secretary’s responsibility to find an alternate. 

The Secretary shall be responsible for ensuring that:

·       The Board calendar is maintained.

·       The executive committee members and executive director produce reports in a timely fashion.

·       All Board directors receive proper notice of all meetings and meeting materials.

·       The executive committee co-creates meeting agendas, pre-read materials, and meeting minutes, which are then timely distributed to the entire board and safely stored.

  • The Board contact list, including contact information and bios, is current.

Compliance Oversight & Document Safekeeping

The Secretary is responsible for maintaining and safeguarding the nonprofit’s records and supporting knowledge transfer.

  • Document board meeting procedures, decision-making rules, and governance policies.

  • Review and update the nonprofit’s governance documents and bylaws, as necessary, to ensure legal compliance.

  • Ensure that all nonprofit data, governing documents, key policies, and assets are safely stored and readily accessible for inspection by directors.

  • Bonus: experience with another arts and culture organization.
